The purchase price is agreed in principle. The acquisition still needs a complete funding plan.
There may be a deposit, completion consideration, advisory costs and additional working capital required once the buyer takes control. Some transactions also involve later payments under separately agreed terms.
For a buyer considering a qualifying capital position alongside an acquisition, those obligations should be mapped before a programme route is discussed in detail.
Separate the acquisition requirements
The initial brief should identify the buyer, target, price, timetable and required settlement currency. It should also show which amounts are already funded and which depend on additional resources.
Post-acquisition needs deserve their own line in the plan. A business that is fully purchased may still need funds to operate, integrate or deliver the buyer's intended changes.
This gives the funding discussion a more realistic objective than the headline price alone.
Define the possible contribution of programme output
Where the buyer or an identified investor controls a qualifying position, agreed realised distributions may be considered for an acquisition reserve or later expenditure.
The programme commitment and the acquisition remain separately documented. The buyer's obligation to the seller should be assessed against the purchase agreement and funds available when due.
Potential programme output cannot establish that a fixed completion payment is funded. Any timing dependency needs to be explicit.
Keep the ownership economics clear
If an investor's participation includes a project allocation, that allocation should be documented through the distribution instructions. Any equity rights in the acquired business are a separate matter for the relevant agreements.
The same applies to advisory or management participation. The parties should understand whether a payment relates to programme output, services or ownership in the acquisition vehicle.
Conversion and banking requirements belong in the initial assessment if the available asset differs from the seller's required consideration.
If you have a defined acquisition and an identified capital position, send the price, payment stages, current funding and investor structure. We can then assess whether a programme-supported component or separate transaction route is worth developing.
Acquisition obligations are governed by the purchase documents. Future programme distributions are uncertain and do not constitute committed completion finance.
