An investor and a project owner can agree on the ambition while having different expectations of the economics.
One may expect distributions throughout the term. The other may want the largest possible allocation to the project until it reaches its target. Advisers and managers may have separate roles and compensation.
Those interests need to be translated into clear agreements before a qualifying position is activated.
Define each party's participation
The initial discussion should identify the investor, project entity and approved participants. It should state what each party contributes and what commercial outcome they expect.
Programme participation, advisory work and equity ownership are separate arrangements. The parties should not assume that a share of output automatically confers a share of the project, or that a management role establishes a fee without agreement.
Making these distinctions early helps the proposal remain understandable.
Agree the distribution basis
The waterfall should identify whether allocations apply to gross or net realised output, which costs are deducted and how each recipient's amount is calculated.
The project share can be linked to milestones or capped at an agreed funding target. The investor's share, reserves and approved fees should be visible alongside it.
The examples in our programme overview illustrate possible discussions. They are not standing percentages that apply to a new file.
Define authority and change control
The documents should identify who can instruct payments, approve milestone releases and agree changes. They should also address what happens when the project reaches its target, pauses or requires a revised scope.
Reporting then needs to show the realised amount, deductions, allocations and payment evidence. Every party should be able to follow how the agreed terms were applied.
The investor's qualifying position and the programme's acceptance still require their own review. A completed project waterfall does not establish that programme output will be available.
If you have a project and an identified investor, send the funding target, proposed roles and intended allocation principles. We can assess how those requirements might be documented around an appropriate qualifying structure.
Economics are bespoke and only binding through executed agreements. Future output and project funding are not guaranteed.
