This article reflects its original publication date. Programme figures, entry routes, counterparties and availability mentioned here are historical, and must be confirmed against current written terms. Start with the current review checklist.
Private placement trade routes can be used by qualified asset holders to generate structured liquidity for business growth, project funding, acquisitions, development capital or start-up expansion.
The position
For the right client, this is a way to unlock value from an existing asset position without approaching the market in the usual debt or equity format.
We also see positions linked to humanitarian or impact-led projects, and these can be reviewed where the underlying asset is genuine, controlled and capable of passing compliance. The cause may matter, but the asset still has to qualify first.
The Tier-1 Derivative route is built for larger, serious asset positions.
This is not a retail product, and it cannot be assessed from a screenshot or a loose claim of funds. Before any route can be considered, the first question is simple: What does the client actually control?
For T1D the position usually needs to be substantial, typically 50m plus, and the asset may be BTC, USDT, USDC, ETH or FIAT, depending on the structure and what the desk will approve.
The key requirement is proof of control. The client must evidence genuine control of the wallet or funds, complete the required KYC and CIS process, and, where requested, perform an A-to-B-to-A control test. This confirms the wallet is genuine, active, controlled by the owner, and not leased, borrowed, flashed or presented by a third party without authority.
This matters because large-wallet structures are regularly damaged by poor submissions. Leased wallets. Borrowed proof. Proxy wallet claims. Screenshots with no substance. Asset managers presenting wallets they do not control.
At a high level the T1D process is:
- Initial contact and KYC/CIS. Wallet or funds review
What to consider
- Proof of control, A-to-B-to-A validation where required
- Desk and compliance review
- Entry into the approved structure
- Monitoring and payout process
The structure is normally non-custodial and handshake-led. The client's wallet stays under their control, but the desk still verifies that the wallet is real, clean, controlled and suitable for the proposed route.
Expected return profiles vary by asset, size, route and approval outcome. BTC, stablecoin and FIAT positions are not treated the same. The structure, timeline and payout method depend on what is actually presented and accepted.
This is why we do not give serious route guidance without seeing the underlying position first.
If the client controls a larger position, the first step is not a call about returns. The first step is proof. Asset type. Value. Custody route. Beneficial owner. Wallet or account history.
Preparing the file
If you are looking to raise funds for a business, project, acquisition, start-up or impact-led initiative using an existing asset position, the first step is qualification. Once verified, the suitable Tier-1 route can be assessed.
